Terms
of service
These are the terms under which Veplex provides the agentic commerce intermediation service. They are intentionally short and readable. If anything is unclear, write to us.

Parties
Who you agree with
- These terms govern your use of the Veplex service. They are between you and Everything s.r.o., a limited company registered in the Czech Republic, operating under the brand Veplex.
- By initiating, accepting, or completing a trade through Veplex, you confirm that you accept these terms.
What Veplex does
The service
- Veplex is an intermediation layer between buyers and sellers on third-party marketplaces. Autonomous agents discover matching trades, translate communication, negotiate terms on the participants' behalf within the limits each participant has set, settle the resulting payment, and stand behind the transaction.
- Veplex is not itself a marketplace and does not sell goods on its own account. Each trade is between a buyer and a seller; Veplex stands between them as the contracted intermediary.
Eligibility
Who can use Veplex
- You must be at least 18 years old and legally capable of entering binding contracts under the law of your jurisdiction.
- You must not be subject to EU, UN, UK, or US sanctions. We screen each counterparty before funds move.
- If you act on behalf of a company, you confirm you are authorised to bind that company to these terms.
Your obligations
What we ask of you
- Provide accurate identity and contact information, and update it when it changes.
- Describe items and offers truthfully. Misrepresentation is grounds for trade reversal and account suspension.
- Do not attempt to bypass Veplex's mediation to evade fees, escrow, or audit. Such conduct is grounds for immediate termination.
- Comply with applicable law in your jurisdiction, including import, export, tax, and consumer protection law.
Our obligations
What you get from us
- Identity verification and sanctions screening of every counterparty before funds move.
- Funds held in segregated escrow at a regulated EU institution from the moment payment is taken until delivery is confirmed.
- Protection against non-delivery, item not as described, and fraud, paid from a dedicated insurance reserve, subject to the published claim limits and process.
- An auditable record of every conversation, translation, contract, and payment, exportable on request.
- Dispute resolution within a published SLA, with optional escalation to a neutral third-party arbitration body.
Fees
What it costs
- Veplex charges a transaction fee on each completed trade. The applicable rate is shown to you before you commit to the trade.
- Currency conversion uses the published rate of our settlement provider at the time of conversion plus a transparent margin.
- There are no subscription fees, account fees, or fees for cancelled or reversed trades.
Liability
Limits
- Veplex's liability under any trade is limited to the value of that trade, plus the amounts payable under the insurance protection described above.
- Veplex is not liable for losses caused by your provision of false information, by sanctions or legal restrictions in your jurisdiction, or by force majeure.
- Nothing in these terms limits liability for fraud, gross negligence, or any liability that cannot be limited by law.
Termination
Ending the relationship
- You can stop using Veplex at any time. Any trades already in flight will complete or be cancelled in accordance with their status.
- We may suspend or terminate your access if we reasonably believe you have breached these terms, have failed sanctions or fraud screening, or have engaged in conduct that puts other participants at risk.
- Termination does not affect rights and obligations that arose before termination, including obligations under in-flight trades.
Governing law
Law and forum
- These terms are governed by the law of the Czech Republic.
- Disputes that cannot be resolved through the dispute mechanism described in the trust brief are subject to the exclusive jurisdiction of the courts of Prague, CZ, unless mandatory consumer-protection law in your jurisdiction provides otherwise.
Updates
Changes to these terms
- We may update these terms from time to time. The current version and its effective date are shown at the top of this page. Material changes are notified to active users by email at least 30 days before they take effect.
